GM Hughes Changes Pentagon Contract: General Motors Corp. and its Hughes Electronics unit have agreed to restructure a Pentagon contract to satisfy federal antitrust concerns about their proposed acquisition of the Itek Optical Systems Division from Litton Industries Inc., the Federal Trade Commission said. The acquisition had raised concerns because Itek has an exclusive contract to provide a critical component for an Air Force antimissile program being developed by a team led by Boeing Co. and Lockheed Martin Corp. The Boeing/Lockheed team is one of two contractors developing designs for a $700-million Air Force antimissile program, competing against a team led by Hughes and Rockwell International Corp. The FTC said it is concerned that Hughes’ acquiring Itek would leave the Boeing/Lockheed team dependent on a Hughes subsidiary for the key component at the same time Hughes was part of a competing team for the same program.
